Terms & Conditions

Please read these terms carefully before using our services. By engaging with ToNeoSpace, you agree to be bound by the following conditions.

Service Agreement

1. Acceptance of Terms

By accessing this website and hiring ToNeoSpace for services including Web Development, App Development, Graphic Design, SEO, and Digital Marketing, you ("the Client") agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you are prohibited from using our services.

2. Nature of Relationship

ToNeoSpace operates as a freelance service provider. We are an independent contractor, and nothing in this agreement shall be construed to create a partnership, joint venture, employment relationship between the Client and us. We reserve the right to use our internal team of freelancers to develop your project.

3. Project Scope & Revisions

  • Scope of Work: The specific deliverables for each project will be outlined in a formal Quotation/Invoice or Email agreed upon before work begins.
  • Revisions: We generally provide 3 rounds of revisions for design and development tasks within the original scope.
  • Scope Creep: Any revisions or additional features requested by the Client that are outside the original scope will be considered "Scope Creep" and will be charged additionally at our standard hourly rate or a fixed fee.

4. Client Responsibilities

The Client agrees to:
  • Provide all necessary text, images, and content required for the project in a timely manner.
  • Provide access to hosting, domains, and other necessary accounts.
  • Delays: If the Client fails to provide content or feedback within 10 days, the project timeline will be extended, and we reserve the right to pause the project.

5. Payments & Invoicing

  • Advance Payment: A non-refundable advance payment of 50% is required to schedule and start the work.
  • Final Payment: The remaining 50% is due upon completion of the project but before the final migration to the Client’s live server or release of source code.
  • Late Fees: Invoices not paid within 7 days of the due date may incur a late fee of 5% per week.

6. Intellectual Property Rights

  • Client Ownership: Upon full payment of all invoices, the Client is granted full ownership of the final website files, designs, and code developed specifically for them.
  • Agency Rights: We reserve the right to retain the source code and design files until full payment is received. We also reserve the right to display the completed work in our Portfolio (unless a Non-Disclosure Agreement prevents this).

7. Limitation of Liability

To the fullest extent permitted by law, ToNeoSpace shall not be liable for any indirect, consequential, or special damages arising out of the use of our services. This includes, but is not limited to, loss of revenue, loss of data due to server failure, or third-party hacks. Our total liability shall not exceed the total amount paid by the Client for the specific service.

8. Termination

Either party may terminate the project with written notice.
  • If Client Terminates: You must pay for all work completed up to the termination date. The advance payment is non-refundable.
  • If We Terminate: We will refund the balance for any work not completed.

Refund & Cancellation Policy

1. Web & App Development / Graphics

  • Advance Payments: The 50% advance payment is designed to cover the booking of our time and resources. Therefore, advance payments are non-refundable once the work has commenced (design or coding phase).
  • Full Refund: A full refund (minus payment gateway charges) is only possible if you cancel the project within 24 hours of payment and NO work has started.
  • Rejection: If you are not satisfied with the initial design draft, we will work to revise it. However, rejection of a design does not qualify for a refund of the advance payment as labor hours have already been spent.

2. SEO & Digital Marketing (Monthly Retainers)

  • SEO and Marketing services are billed on a month-to-month basis.
  • No Refunds: Payments made for the current month are non-refundable as they cover ongoing man-hours, content creation, and media buying.
  • Cancellation: You may cancel your subscription for the upcoming month by providing a 15-day written notice before the next billing cycle.

3. Third-Party Costs

Expenses incurred on behalf of the Client, such as Domain Name registration, Hosting charges, Paid Plugins, Stock Images, or Google/Facebook Ad Budget, are strictly non-refundable.
